Terms of Service for CorvusGPS Services

Please read these terms and conditions ("Terms of Service") carefully before using any of our services. These Terms of Service represent the agreement ("Agreement") between you and Corvus Labs Ltd. with respect to any Software or Services developed / offered by Corvus Labs Ltd. (Later referred to as "CorvusGPS.com", "CorvusGPS", "Corvus Labs Ltd.", "Corvus Labs" or we, us. Corvus Labs Ltd's services and applications can be referred to as our, ours, the software, the service, app, EverTrack).

All references herein to "you" and "your" means you who creates an account on the Service, your employees, agents, family members and contractors, and any other entity on whose behalf you accept these terms and conditions, all of whom shall also be bound by this Agreement. If the Service is being used on behalf of an entity by an individual authorized to agree to such terms on behalf of such entity, then "You" refers to the entity. If You are accessing the Service on behalf of Your employer, you represent and warrant that You have the authority to agree to these Terms of Service on its behalf.

Prior to using our software or applications, you shall notify such personnel in written form that our software requires access to their GPS hardware / Mobile Phone or otherwise obtain location and route information, and to record, compile and display such information internally, which information shall be used by you for your own purposes. The use of these pieces of information is outside the control of Corvus Labs. You shall also advise such personnel that all information and data within the control of Corvus Labs shall remain subject to CorvusGPS.com's privacy policy.

Your use of the CorvusGPS.com web site or any of Corvus Labs Ltd's applications (eg. EverTrack app) indicates that you accept these terms and conditions. If you do not accept these terms and conditions, do not launch or otherwise use any application or service developed by Corvus Labs.

SUMMARY

By using our services, you allow the GPS hardware to be located in real-time and these locations to be recorded, compiled, stored and displayed, or otherwise processed.

Our services do not provide you with any hardware devices.
Do NOT use our services and mobile applications while driving!
Do NOT use our services for spying or other illegal activity.
Do NOT use our services to protect life!
We specifically disclaim any expressed or implied warranty or fitness of high risk activities!
We do not take any responsibility for your activities, always check the local laws before using our services!
Any kind of illegal or unfair usage (as in defined by your local and international authorities) is entirely your responsibility!
You are responsible for any fees assessed by your wireless telephone carrier to access our services,
including any data charges, roaming fees, SMS, MMS or other telephone, mobile internet or GPRS connection charges.
We do not guarantee service functionality or security, and storage of received information.
We do not take responsibility for the third party services used in our services and applications (eg. map providers, server hosts, etc…)
We are not responsible for the safety of your drivers, employees and vehicles or other properties.
Any damage caused to your or a third party's properties is entirely your responsibility.
We reserve the right to interrupt services or restrict service to any device without notice if you are using the device in a fraudulent or unlawful manner.
We reserve the right to change the conditions of free services at any time without prior notification.

TRACKING SERVICE

Both of our Service and Software uses GPS, wireless (WiFi, Cellular data, etc.) and web technologies to provide fleet management, workforce management and location reporting services. You agree to that the installed application (eg. EverTrack or other) periodically receives real-time location, phone number, battery state, or other data from your wireless devices. You allow your and / or your employees GPS hardware (smartphone, mobile phone / cell phone, tablet, etc.) to be located and to be collected data from and these locations and other data to be recorded, compiled, stored and displayed. You may also transmit data to and from your fleet and dispatch locations.

GPS HARDWARE

To use our services you need traditional GPS trackers or to download the EverTrack GPS Tracker app to your device. Our service does not include any hardware devices. Our services also work with traditional standalone GPS trackers, but the service doesn't include these devices in this case either. Any hardware needed has to be purchased by you.

In the event you choose to install traditional GPS trackers yourself. You become responsible for proper installation and operation of the traditional GPS trackers and the Mobile Tracker devices.

CARRIER, SIM CARD ROAMING AND OTHER CHARGES

You are responsible for any fees assessed by your carrier to access our services, including any data plan charges, roaming, or other telephone, mobile internet or connection charges. Standard messaging rates and other charges may apply when using certain features of our tracking service. A pre-paid SIM card is recommended with roaming disabled to avoid unwanted charges.

Bear in mind that live tracking is available abroad if roaming is enabled on your device. Roaming cost can be substantial depending on the foreign network operators of which Corvus Labs has no control of whatsoever, therefore, the customer must authorize this service and be solely responsible for the total cost arising from it. Under no condition can Corvus Labs be held responsible for any cost as a result of using our services.

Important! In case of a traditional GPS tracker device cannot reach our servers, it might retry it infinitely, the consumed data can go up to TEN TIMES (10x) of the normal usage for some GPS trackers. If you encounter this issue, please check your device's settings and compare them to those found on CorvusGPS.com's website. In case all settings are found to be correct and the device still does not work as expected, please switch it off, and report the problem to us! We hope it will never happen, but in case it does, it is your responsibility to turn off all devices affected by this issue to avoid the high charges.

SERVICE COVERAGE, QUALITY, DOWN TIMES

Our Tracking Service works all around the world. However, we rely on the services of GPS Satellites and local carriers to deliver its services which are not under our control. Therefore, we cannot be held responsible if there is poor or no GPS or mobile network reception. We do not guarantee service functionality or security, and storage of received information. You use our services at your own risk. The service is provided "As Is". We do not take any responsibility, and can not be customized for user needs.

We may perform regularly scheduled maintenance in the timeframes set out by us at our own discretion. We will notify you in advance in such cases. Other scheduled and unscheduled down times or technical problems may occur. Such maintenances, down times and technical problems may lead to the temporary inaccessibility of the Service, which may not constitute as a breach of this agreement.

UNAUTHORIZED USAGE (TRADITIONAL GPS TRACKERS)

You may not alter or reprogram any of the Devices beyond the normal programmable parameters of the Device. If a Device gets stolen or any of our services get used fraudulently, you must notify us immediately. We have the right to interrupt Services or restrict service to any Device, without notifying you, if you are using the device in a fraudulent or unlawful manner.

UNSAFE AND UNLAWFUL USE

Corvus Labs can not be held responsible for any damage to life of your employees or your subjects and to your vehicles and other properties. Do not use our services and mobile application while driving! We do not take any responsibility for accidents or any harmful events caused by the improper use or our services, mobile applications or other solutions. Do not use our tracking service (especially the mobile app), unless your vehicle is stationary and parked in a safe place. You agree to comply with all laws while using the services and will not transmit any communication that would violate any federal, state, or local law, court ruling, or regulation. Do not use the service or any of our applications for spying or other illegal activity. Corvus Labs does not take any responsibility for your activities, always check the local laws before using our services. Any kind of illegal usage is your responsibility! You must not, in the use of the service, violate any laws in your jurisdiction (including but not limited to copyright laws).

You must not use the service in any way that causes, or may cause, damage to the service or impairment of the availability or accessibility.

You must not modify, adapt or hack the service or modify another website so as to falsely imply that it is associated with the service or Corvus Labs Ltd. You must not transmit any worms or viruses or any code of a destructive nature.

SAFE USE

Do not use this product where it is not allowed to be used by local laws, such as airports, hospitals, etc. Drivers should not operate this product while driving. Most of the trackers are not water resistant. Keep it dry. Use and connect with only original parts and compatible devices.

HIGH RISK ACTIVITIES

Our tracking service (devices and software) is not fault-tolerant and is not designed or intended for use as on-line control equipment or monitoring of high risk valuables requiring fail-safe performance, such as Gold, Diamond, Cash, or Weapons Tracking, in which the failure of the tracking system could lead to loss of lives, personal injury or severe financial, physical or environmental damages or losses ("High Risk Activities"). Do not use our services for protecting life! Corvus Labs specially disclaims any express or implied warranty or fitness of high risk activities!

UPLOADED AND GENERATED CONTENT

Content must not be illegal or unlawful, must not infringe any person's legal rights, and must not be capable of giving rise to legal action against any person (in each case in any jurisdiction and under any applicable law).

We may, but have no obligation to, remove Content and Accounts containing Content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party's intellectual property or these Terms of Service.

We claim no intellectual property rights over the data, works and materials uploaded or stored by you under the service or generated by the service as a result of the use of the service by you (hereinafter: Content) to the Service. Your profile and Contents remain yours. However, by sharing your Content, you agree to allow others to view and share your Content as necessitated by the nature and technical characteristics of the Service. We will not disclose or use Content except to operate, maintain, and perform the service, or to comply with laws.

You understand and agree that Corvus Labs Ltd. cannot be responsible for any content posted on the Service by you or any user of the Service. We do not pre-screen Content, but we have the right (but not the obligation) in our sole discretion to refuse or remove any Content that is available via the Service.

In the course of using the Service, You may upload personal data to the Service. In connection with such use of the Service, you will (i) obtain all legally required consents before making any personal data available in the Service, and maintain those consents until such data are deleted and (ii) delete all personal data provided that the necessary consents expire or are withdrawn. You will not use the Service in conjunction with personal data to the extent that doing so would violate applicable data protection laws.

In the course of using the Service, You may upload data to the Service which may be of a confidential nature or copyrighted material, trademarks, patents, trade secrets, and other proprietary information which may belong to your or a third party's intellectual property. You will retain all intellectual property and other rights thereto. However, you hereby agree that Corvus Labs Ltd. shall have an unlimited, royalty-free, worldwide and perpetual license to use, copy, distribute, practice and make derivatives works of, under any intellectual property rights you may have, to the extent necessary for the operation of the Service and the exercising of our rights under this agreement. By providing Content to Corvus Labs Ltd., you represent and warrant that you have the right to provide such Content to us and such Content does not infringe, misappropriate, violate or contravene any laws, regulations or third party rights (including, without limitation, any rights in Intellectual Property).

Within 180 days following termination of Your Account or expiry of the agreement to use the Service, Corvus Labs Ltd. will destroy all data available within the Service. Such deletion will also be performed if any of Your authorized users initiates such a deletion process within the Service. You will be responsible to make a copy of all such data before such deletion.

INFORMATION SECURITY

Internet transmissions are never completely private or secure. You understand that any message or information you send to CorvusGPS.com may be read or intercepted by others, unless there is a special notice that a particular message is encrypted (sent encoded). Sending a message to us does not cause Corvus Labs to have any special responsibility to you.

You understand that the technical processing and transmission of the Service, including your Content, may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.

ACCOUNTS

When signing up for our services, you must provide true, accurate, current, and complete information about yourself, and inform us immediately about any changes to your personal or company's information. If you provide us any false, inaccurate, outdated or incomplete information, or we have reasonable grounds to suspect so, Corvus Labs has the right to suspend or terminate your access to the service. All of your account information, as well as other payment and personal information provided by you to Corvus Labs, are subject to CorvusGPS.com's Privacy Policy. Your use of our tracking services indicates that you accept CorvusGPS.com's privacy policy.

Registered "administrator" accounts (simple registration at CorvusGPS.com) is for your internal business and personal use and is not to be resold or otherwise transferred or disposed to any other person or entity.

Accounts registered by automated methods are not permitted. You must be at least 18 years of age to use the service; and by using the service, you warrant and represent to us that you are at least 18 years of age.

Your login may only be used by one person – a single login shared by multiple people is not permitted.

You are responsible for maintaining the security of your account and password. You shall use reasonable endeavors, including reasonable security measures relating to Account access details to ensure that no unauthorized person may gain access to the service using your account. You shall immediately notify Corvus Labs Ltd. of any unauthorized disclosure. Corvus Labs Ltd. cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.

You are responsible for all content posted and activity that occurs under your account (even when Content is posted by others who have accounts under your account), including all content posted and activity by any person who gains access to the service even if such access or use was not authorized by you.

Violation of any of the terms will result in the termination of your Account.

MULTIPLE ACCOUNTS

When the service is being used on behalf of an entity, multiple accounts may be created on your behalf. In such a case, Contents may be accessed and amended by such multiple users created by Your appointed subscription administrator on Your behalf.

When multiple accounts are created, the initial Account created will be considered to be used by your appointed subscription administrator ("Administrator"). The administrator may create additional accounts for users who may access your contents ("Users").

You shall be responsible for the continuous updating of the Accounts, especially the suspension or deletion of Accounts belonging to users who are no longer entitled to proceed on your behalf, and the creation of additional Accounts as may become necessary.

SOFTWARE LICENSE

Upon your acceptance of the terms of this Agreement Corvus Labs grants you with a non-exclusive, non-transferable, personal license to download and use our mobile applications (eg. EverTrack) in the form they have been provided to you (object code executable) and to access and use other online and offline services provided by CorvusGPS.com. The license provided to you will be void upon your failure of compliance with this Terms of Service agreement, or upon any cancellation, suspension or termination of your access to our tracking service.

Except for the limited license (see above) expressly granted upon your acceptance of these terms, Corvus Labs reserves all right, title and interest in and to our tracking software, including but not limited to all intellectual property rights therein.

You agree not to do any of the following:

- Reverse engineer, decompile, disassemble, translate, modify, alter or otherwise change the tracking software, or any other software developed by Corvus Labs or any part thereof.

- Attempt to derive the source code, audio library or structure of our tracking software without the prior express written consent of Corvus Labs.

- Remove from our tracking software, or alter, any of Corvus Labs' or its suppliers' trademarks, trade names, logos, patent or copyright notices, or other notices or markings.

- Distribute, sublicense or otherwise transfer the software to others, unless you have valid distribution contract signed between you and Corvus Labs.

FREE TRIAL

Prior to its commercial use, Corvus Labs Ltd. may give you with access to its service as a Trial period, at no charge. The Trial period lasts for 14 days and may be renewed upon your request. Multiple notifications will be sent to you prior to the expiry of the Trial period. In order to start the commercial use of the service after the Trial period, you will need to top-up your account (or select a subscription plan if available) and the required invoicing and payment information will have to be provided.

Our tracking software is available to everyone during the testing phase, free of charge. After the end of the testing period, our services will completely or partly be liable to a monthly and/or daily fee. A detailed description of these fees shall be sent to all of our customers, who can then decide whether to further employ our services. The usage of our softwares and services may be free of charge under defined conditions. In case of exceeding defined limitations subscription to the paid service will be required. You will be never charged without your prior consent. CorvusGPS.com reserves the right to change the conditions of free services at any time without prior notification.

FEES

Use of the service is subject to the payment of fees published on the website on the Service.

You agree and acknowledge that Corvus Labs Ltd. will issue electronic invoices on the fees of the Service in accordance with relevant Hungarian regulations. You will need to ensure due storage and archiving of such electronic invoices, as required by applicable law. Taking into account the global nature of the internet, Corvus Labs Ltd. cannot guarantee that the invoice issued is compliant with the accounting regulations of Your county as well. You will need to notify Corvus Labs Ltd. prior to using the Service if an electronic invoice is not acceptable due to the regulations effective in Your country, or if any other special requirements apply thereto.

Corvus Labs Ltd. may suspend the provision of the Service if any amount due to be paid by You under this agreement is at least 10 days overdue, with the concurrent email notification to Your Subscription Administrator. Multiple reminders will be similarly sent to You. You agree and acknowledge that Corvus Labs Ltd. will delete your account, users and content if your account is run out of credit and no any payment (top-up, subscription) made in the last 90 days.

REFUND POLICY, CANCELLING ACCOUNTS

You can easily cancel your subscription at any time. There are no cancellation fees, though no refunds are provided.

TERM AND TERMINATION

This agreement will remain in full force and effect while Corvus Labs Ltd. offers the Services and/or you are a customer using the Services.

Without limiting the right of a party to terminate this Agreement, a party may terminate this Agreement for convenience upon prior written notice to the other party.

Without limiting the right of a party to immediately terminate this Agreement for cause as provided for in this Agreement, if either party materially breaches any of its duties or obligations hereunder and such breach is not cured, or the breaching party is not diligently pursuing a cure to the non-breaching party's sole satisfaction, within thirty (30) calendar days after written notice of the breach, the non-breaching party may terminate this Agreement for cause as of a date specified in such notice.

TERMINATION

CorvusGPS.com reserves the right to terminate your access to the Service at any time for any or no reason and without notice to you. You may terminate the CorvusGPS.com Tracking Service at any time by notifying CorvusGPS.com via email at admin@corvusgps.com or by deleting your account. CorvusGPS.com reserves the right to delete accounts after 3 months of inactivity (nobody signed in). If a GPS tracker or mobile tracker user (eg. EverTrack) fails to send any data for 3 consecutive days from the date the device got added to your account, CorvusGPS.com reserves the right to remove the device and all of its users from your account without prior notice to you.

CorvusGPS.com integrates software and services from various third party vendors in its solution. By using our products You agree to accept all Terms of Service agreements related to End Users defined by those third party companies listed at the end of this document. You are also informed and agree that if a third party will stop, temporarily not provide or otherwise limit its services, CorvusGPS.com can stop or limit its services according to the limitations imposed by those third party companies upon CorvusGPS.com. Upon termination of any of our services you are subscribed to, CorvusGPS.com shall have no liability or any further obligations to you regarding the terminated services under this agreement.

Verbal, physical, written or other abuse (including threats of abuse or retribution) of any Corvus Labs customer, employee, member, or officer will result in immediate account termination. You must not upload, post, host, or transmit unsolicited email, SMSs, or "spam" messages.

If your bandwidth usage significantly exceeds the average bandwidth usage (as determined solely by Corvus Labs Ltd.) of other CorvusGPS.com customers, we reserve the right to immediately disable your account or throttle your file hosting until you can reduce your bandwidth consumption.

MODIFICATION OF THE SERVICE AND FEES

We reserve the right to make any amendments, corrections on the website or the Service at any time and in any manner and to modify or discontinue, temporarily or permanently the Service (or any part thereof), also to change the pricing of the Service at any time with or without prior notification. Furthermore, Corvus Labs Ltd. reserves the right to relocate the website to another domain name.

These Terms of Service will apply to all such modifications without the need for any specific notice.

We shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.

You are encouraged to visit our Terms of Service from time to time to review the current terms and conditions of use for our services. Your continued use of the Service following the posting of any changes to the Terms of Service constitutes acceptance of those changes. Unless explicitly stated otherwise, any new features or modifications to the service, shall be subject to these Terms of Service.

DISCLAIMERS

To the fullest extent permissible pursuant to applicable law, in no event will CorvusGPS.com, its licensors and suppliers, or agents and other employees be liable for any decision made or action taken by you or anyone else in reliance on the information provided by the CorvusGPS.com Tracking Service or any other software developed by CorvusGPS.com. You are solely responsible for the entire risk arising out of using the CorvusGPS.com Tracking Service and any other software developed by CorvusGPS.com.

The CorvusGPS.com Tracking Service and any other software developed by CorvusGPS.com are provided "as is" and without warranties of any kind either express or implied. CorvusGPS.com disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose.

Applicable law may not allow certain warranty exclusions, so one or more of the above disclaimers may not apply to you depending on your location of residence.

In matters not covered by the "Terms of Service", Hungarian law shall prevail.

OTHER QUALIFICATIONS

You understand and agree that the CorvusGPS.com Tracking Software (and other software developed by CorvusGPS.com, including but not limited to EverTrack) is downloaded to your wireless device at your own discretion and risk and that you will be solely responsible for any damage done to your wireless device and / or loss of data, that results from the download and usage of such software. CorvusGPS.com does not guarantee that the CorvusGPS.com Tracking Service or any other software developed by CorvusGPS.com will not infringe third party intellectual property rights. CorvusGPS.com also does not guarantee the uninterrupted or error-free use of the CorvusGPS.com Tracking Service. Temporary interruptions of the CorvusGPS.com Tracking Service may occur from time to time (eg. when you drive into an area that has no cell phone coverage or when the cloud environment used by CorvusGPS.com or your carrier's network is undergoing maintenance). CorvusGPS.com will exercise reasonable efforts to attempt to limit or prevent such occurrences, but in no event will CorvusGPS.com be liable for any financial loss or any other type of damage caused by such interruptions.

CorvusGPS.com also does not guarantee the accuracy of the map or other data used by the CorvusGPS.com Tracking Service. Such data may not always reflect reality due to road closures, construction, weather, new roads and other changing conditions outside of CorvusGPS.com's influence. CorvusGPS.com does not guarantee the security of the CorvusGPS.com Tracking Service or the transmission of data or information to and from CorvusGPS.com and your wireless device. CorvusGPS.com will exercise reasonable efforts to prevent any unauthorized infiltration attempts to its servers, but CorvusGPS.com will not be liable to you or anyone else in the event of any unauthorized infiltration of any of its systems.

INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and defend CorvusGPS, its suppliers, and its licensors (including their respective licensors, suppliers, assignees, subsidiaries, affiliated companies, and the respective officers, directors, employees, shareholders, agents and representatives of each of them) from any liability, loss, injury (including injuries resulting in death), demand, action, cost, expense, or claim of any kind or character, including but not limited to attorney's fees, arising out of or in connection with using the CorvusGPS.com Tracking Service or any other software developed by CorvusGPS.com.

LIMITATION OF LIABILITY

CorvusGPS.com is not responsible for acts or omissions of any other service provider, for information provided through the equipment, for equipment failure or modification, for system failure or modification or for causes beyond the control of CorvusGPS.com.

Your use of the Service is at your sole risk. The service is provided on an "as is" and "as available" basis.

Corvus Labs Ltd. implements and maintains practices and procedures, which may be revised periodically, regarding the systems used to host and operate the Service. These practices and procedures are designed to reduce the vulnerability of the relevant IT systems to accidental loss, unlawful intrusions, unauthorized access, disclosure or alteration or wrongful conduct that may interfere with, misappropriate, or otherwise damage the Content within the Service. Within such procedures, Corvus Labs Ltd. will also make reasonable attempts to backup all Your data. A description of the practices and procedures is available to You upon request. However, Corvus Labs Ltd. cannot guarantee that unauthorized third parties will never be able to defeat such measures to access Content for improper purposes. You are responsible for determining whether these practices and procedures are appropriate to meet Your requirements. By using the Service, You acknowledge that there are risks inherent in Internet connectivity that could result in the loss of Customer's privacy, confidential information and property, and your acceptance of such practices and procedures and their adequacy for Your purposes.

You expressly understand and agree that Corvus Labs Ltd. shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, damaged properties and / or vehicles, injury, loss of life or other intangible losses (even if Corvus Labs Ltd. has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; (v) or any other matter relating to the service.

Corvus Labs Ltd. does not warrant that (i) the service will meet your specific requirements, (ii) the service will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the service will be accurate or reliable, (iv) the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations, and (v) any errors in the Service will be corrected.

Nothing in this Terms of Service will: (a) limit or exclude any liability for death or personal injury resulting from negligence; (b) limit or exclude any liability for crime; (c) limit any liabilities in any way that is not permitted under applicable law; or (d) exclude any liabilities that may not be excluded under applicable law.

In the event of a breach of this Terms of Service or violation of applicable law by You or any user You will be liable for, Corvus Labs Ltd. may terminate Your access to the Service immediately, or remove the offending Content. Corvus Labs Ltd. may not be held responsible for any such termination or removal.

VIS MAJOR

CorvusGPS.com is not liable for failure to provide the CorvusGPS.com Tracking Service if the failure is as a result of:

(i) Natural disasters, such as earthquakes, storms, hurricanes, floods, tornadoes and fires

(ii) Human events, such as wars, civil war, rebellion, revolution, insurrection, military or usurped power or confiscation, terrorist activities, nationalisation, labor dispute, strike, riots invasion, act of foreign enemies, hostilities (regardless of whether war is declared), or other major upheavals

(iii) Performance failures outside the control of CorvusGPS.com, such as lockout or interruption or failure of electricity, disruptions in telephone service attributable to the telephone company, unavailability or failure of cloud environment, supplier problems (product unavailable) or any other missing or failed infrastructure crutial for CorvusGPS.com Tracking Service running,

(iv) Restrictions related to the regions where CorvusGPS.com's headquarter or local office is located, such as government restrictions (denial or cancellation of a necessary license), or government sanction, blockage, or embargo,

CorvusGPS.com will exercise reasonable efforts to prevent such events from happening and to minimize delay or any damage caused events like the ones described above to the solution environment, but in no event will CorvusGPS.com be liable for any financial or other damages caused by or attributed to such events.

If the cause for VIS MAJOR status cannot be removed for long time bases and despite having undertaken efforts, CorvusGPS.com has the right permanently terminate, shutdown or cancel the service.

MISCELLANEOUS

CorvusGPS.com's or your failure to require performance of any provision shall not affect that party's right to require performance at any time thereafter, nor shall a waiver of any breach or default of this Agreement constitute a waiver of any subsequent breaches or defaults or a waiver of the provisions themselves.

If any provision herein is held unenforceable, then such provision will be modified to reflect the intention of the parties, and the remaining provisions of this Agreement will remain in effect.

You may not resell, assign, or transfer any of your rights bound or not bound by this Agreement. Any such attempt may result in termination of this Agreement, without liability to CorvusGPS.com. CorvusGPS.com has the right to assign this Agreement to any affiliate at any time without notice.

You agree that in the event CorvusGPS.com is required or requested by you and/or any legal authority to participate in any legal proceeding involving your use of the CorvusGPS.com Tracking Service or any other software developed by CorvusGPS.com, you shall be responsible for all legal fees and costs incurred by CorvusGPS.com as a result of such required or requested participation.

By using the CorvusGPS.com Tracking Service, you consent to receive communications from CorvusGPS.com, including notices, agreements, legally required disclosures or other information in connection with the CorvusGPS.com Tracking Service (collectively, "Notices") electronically. CorvusGPS.com may provide such Notices by posting them on CorvusGPS.com's website or by downloading such Notices to your wireless device. If you desire to withdraw your consent to receive Notices electronically, you must discontinue your use of the CorvusGPS.com Tracking Service.

By using our services you accept that Corvus Labs Ltd. may display your company's logo and/or name on its website.

This Agreement and the Service shall be governed by and construed in accordance with Hungarian laws. Any disputes arising in connection with the Agreement or the Service shall be settled primarily without litigation, by means of negotiations. For the case of failure of such settlement, depending on the competence, You agree and submit to the exclusive jurisdiction of the Buda Environs District Court or the Budapest Environs Regional Court in Hungary.

The failure of Corvus Labs Ltd. to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and Corvus Labs Ltd. and govern your use of the Service, superseding any prior agreements between you and Corvus Labs Ltd. (including, but not limited to, any prior versions of the Terms of Service).

Due to the global character of the Internet, You undertake to proceed in compliance with the provisions of all applicable national measures in the course of using the website. If any activity related to using the Service is not permitted according to the laws of Your country, You shall exclusively bear responsibility for such usage.

The language of the contract concluded by means of accepting the Terms of Service shall be English, such agreements do not qualify as contracts put in writing, and they are not filed by Service Provider.

You acknowledge that even if the Terms of Service has been translated to other languages, this was done for the convenience of users only, and even in such case the English language version shall prevail as terms of using the Service. In case of any inconsistency between the English language Terms of Service and any other language version, the English version shall prevail.

COPYRIGHT AND CONTENT OWNERSHIP

You acknowledge that the Service is owned by Corvus Labs Ltd, who retains all right, title and interest therein, and is protected by Hungarian and international copyright laws. You do not acquire any intellectual property or other proprietary rights under this Agreement relating to the site, the Service, or any part thereof. Your only rights to the Service and any part thereof shall be those rights expressly licensed or granted to you under this Agreement.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the service, use of the service, or access to the service without the express written permission by Corvus Labs.

Nothing herein grants you any right to use any of Corvus Labs's trade names, trademarks, service marks, logos, domain names, and/or other distinctive brand features. Any rights not expressly granted under this Agreement are reserved.

THIRD PARTY SERVICES

The CorvusGPS.com service utilizes maps and other data licensed by third party organizations for the benefit of end users including you. This Agreement includes links to the end-user terms of these third party services required by the third party companies providing them. Your use of the CorvusGPS.com Tracking Service is limited by and is subject to those terms as well.

The CorvusGPS.com Tracking Service runs on a public cloud. These Terms of Service have been written with regards to the actual agreement of the Cloud provider and its Terms of Service. You have been informed and you do agree that the Cloud provider can change its Terms of Service at any time even without written prior notice. These occurrences cannot be influenced by CorvusGPS.com and thus shall be considered and treated as vis major. CorvusGPS.com will exercise reasonable efforts to prevent such occurrences, but in no event will CorvusGPS.com be able to held liable for any financial or other damages due to such change. The Cloud Provider can apply its own rules for data handling, securing and providing, based on the location of the company's headquarters, branch, or datacenter; or the legal system the Cloud provider falls within.
